Terms and Conditions

GOOD PLANS PEDIATRIC CARE PLLC CLIENT AGREEMENT

These terms and conditions (this “Agreement”), effective as of date of clicking the “I agree to terms & conditions” when requesting a visit, (the “Effective Date”), is made by and between Good Plans Pediatric Care PLLC (“Good Plans Pediatric Care”) and the one-time client or member (“Client” or “Member“). Good Plans Pediatric Care and Client may hereafter be referred to collectively as the “Parties” or singularly as a “Party.”

 

1. Patient-Clinician Relationship

By accepting these terms and conditions, you acknowledge that you are voluntarily becoming a Client or Member, if applicable, of Good Plans Pediatric Care. This applies to any clinician providing coverage on behalf of Good Plans Pediatric Care. 

 

2. Services

As a client, you are eligible for telehealth and in-home services. 

 

Memberships: Good Plans Pediatric Care offers different types of memberships. By accepting this Agreement, you acknowledge that you are not signing up for Membership.

Availability: Good Plans Pediatric Care will make every attempt to answer all questions and requests in a timely manner and provide adequate opportunity for appointments, but there is not a guaranteed response or appointment time. Availability is dependent on your location as well as the product(s) purchased. In general, Good Plans Pediatric Care will be available for non-members during the hours listed below. Major service disruptions or deviations from this schedule will be publicized through our website. Where applicable, a good faith attempt for clinician coverage will be arranged by Good Plans Pediatric Care. Non-members will only receive message responses Monday through Friday, 8a-5p CST, outside of these hours messages from non-members will be at the discretion of the provider. Good Plans Pediatric Care is not an emergency service, and any concerns or complaints that cannot wait should be addressed through in-person care at an emergency department or urgent care.

 

In-home services: In-home care, which can include physical exam, measurement of vital signs, testing (if available), and consultations, are subject to availability.

 

3. Fees and Payments

Good Plans Pediatric Care offers both individual services and memberships. Fees for services are subject to changes without notice. Individual services must be paid in full at point of service. Payments submitted later than 30 days will be subject to late fees.

 

By entering into this Agreement, you acknowledge that Good Plans Pediatric Care does not provide health insurance coverage and that this is not a contract for insurance. Good Plans Pediatric Care provides only the services specifically described herein and additional costs may be incurred for laboratory, medical imaging, specialist care, emergency department visits, and hospitalization required outside Good Plans Pediatric Care services. 

 

4. Your Medical Information

Your privacy is very important to us. You control the use of your personal information. Good Plans Pediatric Care has put important safeguards in place to make sure your medical information is protected and safe to maintain its confidentiality as required by State and Federal Agencies. Good Plans Pediatric offers the ability to send and receive texts to and from their care team by using a HIPAA-compliant patient messaging platform. Good Plans Pediatric Care seeks to work together with you to give you the best health care possible. Having access to your medical information will help your clinician give you the best possible care because he/she will have the most up-to-date information about your health. Therefore, as allowed by the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and to help us give you the right care, in the right place and at the right time, your health plan and its contractors and agents may electronically share with us your health-related information (including your “protected health information” as defined by HIPAA). Such shared health-related information may include things like visits to the doctor or hospital, medical conditions, current and past prescriptions, biometric data (height, weight, body fat percentage, etc.) and other health status-related information. By signing this Agreement, you consent to sharing your health data with Good Plans Pediatric Care. Good Plans Pediatric Care will never share or disclose any protected health information with anyone without the Client’s express and written permission.

 

5. Communication

Secure texting is not meant for urgent or emergent situations. Please call 911 in the event of a medical emergency.

 

Using our HIPAA-compliant secure messaging platform, Spruce Health, Good Plans Pediatric Care may send you texts and emails as necessary for your diagnosis, treatment, billing, eligibility and other handling. You consent to receiving messages and are responsible for any fees associated with messaging services.

 

You are responsible for protecting your phone and/or account. Good Plans Pediatric Care is not liable for breaches of confidentiality involving your telephone and/or account that are caused by you or any third party.

 

Good Plans Pediatric Care recommends that you download and use the Spruce app for texting and secure email communications.

 

6. Term

The term of this Agreement shall begin on the Effective Date and shall continue until requested services have been rendered, as described herein.

 

Membership Subscriptions: Membership Subscriptions require at least 30 days notice before cancellation. This subscription will auto-renew unless the Member informs Good Plans Pediatric Care in writing at least 1 month before renewal as described below. 

Subscriptions have a term of 6 months, and require at least 30 days notice before cancellation. Subscriptions will be charged on a month by month basis.

7. Termination

Either Party may terminate this Agreement for any reason whatsoever within the confines of the  terms described above via written notice to the other Party.  

Notwithstanding the foregoing, Good Plans Pediatric Care may terminate this Agreement immediately, at  any time, without notice, upon determining in its sole discretion that the Client is not a good fit  for the Services pursuant to this Agreement, or that continuing the Services is no longer safe, feasible, and /or in the best interest of the Parties. 


 

8. Indemnification

Client agrees to indemnify Good Plans Pediatric Care and its members, managers, employees and agents and hold them harmless from and against all claims, liabilities, damages, losses, costs and expenses including reasonable attorney’s fees and expenses, incurred or suffered by any of them and arising, in whole or in part, out of any actual or alleged act or omission of Good Plans Pediatric Care in connection with its performance of the services set forth in this Agreement.

 

9. Release of Liability

Client agrees not to sue Good Plans Pediatric Care for any injury, illness, death, or other loss of any person, including but not limited to, Client or any member of Client’s family, arising out of or related to the performance of the services pursuant to this Agreement.

10. Limitation of Liability

Good Plans Pediatric Care will not be liable to the Client, or any third party, for any indirect, incidental, consequential, special, or punitive damages. In all events, The Good Plans Pediatric Care aggregate cumulative liability for any claims arising in connection to this Agreement shall not exceed the sum total of all payments received by Good Plans Pediatric Care for services performed pursuant to this Agreement.

11. Waiver

No waiver or modification of this Agreement will be valid unless in writing and duly executed by both Parties. The failure of either Party to enforce at any time any of the provisions in this Agreement will not be construed as a waiver of such provisions, or of the right of either Party to enforce any such provisions.

12. Governing Law

This Agreement shall be construed in accordance with the laws of Tennessee without giving effect to the Tennessee conflict of law provisions. 

13. Assignment

Neither Party may assign this Agreement without the express written consent of the other Party.

14. Entire Agreement

This Agreement contains the entire agreement between the Parties. This Agreement supersedes all existing agreements or arrangements between the Parties related to the services discussed herein.

15. Amendment

This Agreement may not be amended except in a writing signed by both Parties.

16. Use of the Website

You must be at least 14 years old to use the website. 

You agree to use the Website for lawful purposes only and in a manner that does not violate any applicable laws, regulations, or the rights of third parties.

 

17. Disclaimer of Liability

The information provided on the Website is for general informational purposes only. We do not warrant the accuracy, completeness, or reliability of any information on the Website. We are not responsible for any actions taken based on the information on the Website. Any reliance on the content is at your own risk.

18. Links to Third-Party Websites

The Website may contain links to third-party websites or services that are not owned or controlled by yes. We do not endorse or assume any responsibility for the content, privacy policies, or practices of those third-party websites. 

19. Termination of Website Access

We reserve the right to terminate or suspend access to the Website, including user accounts, at our sole discretion, without prior notice or liability, for any reason whatsoever. 

20. Changes to These Terms

We may update these Terms from time to time for various reasons, including legal or operational requirements.
